Welcome to Locali. These Terms of Service ("Terms") govern your access to and use of the Locali mobile application, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

5. Business Listings

5.1 Listing Your Business

Business owners may create listings for their businesses on Locali. By creating a business listing, you represent and warrant that you are authorized to act on behalf of the business and that all information provided is accurate, complete, and current.

5.2 Business Content

You are solely responsible for all content you post in connection with your business listing, including descriptions, photos, promotions, events, and other materials. You retain ownership of your content but grant Locali a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with the Service.

5.3 Accuracy of Information

Business owners are responsible for maintaining the accuracy of their listings, including business hours, contact information, promotions, and events. Locali is not responsible for any inaccuracies in business listings.

5.4 Removal of Listings

Locali reserves the right to remove, suspend, or modify any business listing at any time, with or without notice, for any reason, including if we determine that a listing violates these Terms, contains inappropriate content, or is otherwise objectionable.

6. Promotions and Events

Promotions and events listed on Locali are offered by individual businesses, not by Locali. Locali is not responsible for:

• The accuracy, availability, or fulfillment of any promotion or event
• Any disputes between users and businesses regarding promotions or events
• The quality, safety, or legality of products or services offered
• The conduct of businesses or their employees

Users should contact businesses directly to verify details, availability, and terms of promotions and events. By participating in any promotion or event, you agree to be bound by any applicable terms and conditions set by the business.

7. User-Generated Content

7.1 Your Content

You may post reviews, comments, photos, and other content on the Service. You retain ownership of your content but grant Locali a worldwide, non-exclusive, royalty-free, transferable license to use, display, reproduce, modify, adapt, publish, and distribute your content in connection with the Service.

7.2 Content Standards

You agree that all content you post will:

• Be accurate and truthful
• Not violate any laws or third-party rights
• Not contain defamatory, obscene, offensive, or discriminatory material
• Not contain viruses, malware, or other harmful code

TO THE FULLEST EXTENT PERMITTED BY LAW, LOCALI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.
